1. Agreement to Terms
These Terms and Conditions (“Terms”) govern your access to and use of ElionNexus, the technology, information and market-connectivity platform operated by Elion Energy Group Ltd (collectively, the “Platform”).
By registering for an account or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Role of Elion Nexus
ElionNexus is a technology, information and market-connectivity platform. Unless expressly agreed in a separate written contract, Elion Energy Group Ltd does not own, sell, store, transport, allocate or guarantee petroleum products listed or referenced on the Platform.
ElionNexus is not the buyer, seller, payment guarantor, stock verifier, transporter, insurer, escrow provider or contracting party in transactions concluded between petroleum companies, suppliers, distributors, oil marketing companies or other users.
Use of ElionNexusor the display of any company, product, price or listing on the Platform shall not constitute an endorsement, recommendation, representation or guarantee by Elion Energy Group Ltd regarding that company, product, transaction or user's ability to perform its obligations.
3. Responsibility for Published Information
Each company or authorised user that publishes prices, product information, stock indications, loading locations, allocations or commercial terms is solely responsible for ensuring that the information is accurate, current, lawful and authorised.
A publishing company must promptly update, suspend or remove any listing where the price has changed, the product is unavailable, the allocation has been exhausted or the information is no longer correct.
By publishing information on ElionNexus, the publishing company represents and warrants that the person submitting the information is duly authorised to do so on its behalf. The publishing company remains responsible for all information published through its account, including information submitted by its directors, employees, representatives or authorised users.
4. Prices Do Not Guarantee Stock
Published prices are indicative and remain subject to stock availability, allocation, final confirmation, credit approval and the seller's commercial terms. A displayed price does not constitute a binding offer, reservation, guaranteed allocation or confirmation that petroleum products are available.
Users acknowledge that petroleum prices and stock positions may change rapidly and information displayed on the Platform may therefore change between publication and confirmation of an order.
5. Buyer Verification Before Payment
Before making any payment, placing an order or relying on information displayed on ElionNexus, a buyer must independently:
- Contact the relevant petroleum company through verified official channels.
- Obtain written confirmation of available product, quantity, price and loading location.
- Receive an official quotation, order confirmation or pro forma invoice.
- Verify the seller's official banking and payment details.
- Confirm loading, collection, transport, quality, delivery and any applicable taxes or charges.
- Independently reconfirm any new or changed banking details through the petroleum company's verified official contact channels before transferring funds.
A buyer who makes payment without completing the above verification steps does so at its own commercial risk, subject always to applicable law.
6. Payments for Petroleum Products
Unless expressly agreed otherwise by Elion Energy Group Ltd under a separate written agreement, all payments relating to petroleum products shall be made directly between the buyer and the relevant seller/petroleum company.
ElionNexus does not receive, hold, transmit, process, escrow or guarantee payments relating to petroleum-product transactions between users and shall not be responsible for payments made to incorrect, fraudulent or unauthorised accounts arising from information supplied by another user or third party, subject to applicable law.
Elion Energy Group Ltd may separately collect subscription, advertising, technology, platform or other service fees payable directly to Elion Energy Group Ltd.
7. No Warranty or Guarantee
To the maximum extent permitted by law, Elion Energy Group Ltd does not warrant or guarantee:
- The existence, availability, allocation or continuity of stock.
- The accuracy, completeness or timeliness of prices and listings supplied by users.
- Product quality, specification, quantity, loading, delivery or transportation.
- The identity, creditworthiness, licensing, conduct or performance of any user.
- That a proposed transaction will be completed successfully or within any stated time.
Any verification of company registration, licensing, documentation or account information undertaken by Elion Energy Group Ltd is for platform administration and risk-management purposes only and does not constitute an endorsement, guarantee or warranty of that user's financial standing, creditworthiness, stock availability, operational capacity, honesty or future performance.
8. Limitation of Liability
Subject to applicable law, Elion Energy Group Ltd shall not be liable for losses, claims, damages, penalties, business interruption, loss of profit, loss of opportunity, payment disputes, unavailable stock, incorrect pricing, delayed loading, product shortages, quality disputes, transportation failures, licence issues, fraud or breach of contract arising from the acts or omissions of platform users or third parties.
Subject to applicable law, Elion Energy Group Ltd shall not be liable for any indirect, consequential or commercial loss arising from a transaction between users, including loss of profit, revenue, opportunity, contract, anticipated savings, goodwill or business interruption.
Nothing in these Terms seeks to exclude liability that cannot lawfully be excluded, including liability arising from Elion Energy Group Ltd's own fraud, wilful misconduct or mandatory statutory obligations.
9. Indemnity
Each publishing company and user agrees to indemnify, defend and hold harmless Elion Energy Group Ltd, its directors, employees, contractors and technology partners from claims, investigations, losses, liabilities and reasonable legal costs arising from:
- False, misleading, expired, unauthorised or inaccurate information published by that user.
- Failure to supply confirmed products or honour agreed commercial terms.
- Payment disputes, fraud, misrepresentation or breach of contract.
- Violation of petroleum, competition, consumer protection, anti-bribery, data protection or other applicable laws.
- Infringement of third-party rights or misuse of the Platform.
- Unauthorised use of a company account or credentials.
10. Audit Trail and Evidence
ElionNexus maintains secure records showing who created, changed, approved or removed a listing, together with the date, time, price, stock status, validity period and relevant account details. The Platform may preserve logs and communications for security, compliance, dispute management and lawful investigations.
Users acknowledge and agree that electronic platform records, timestamps, account activity and system logs may, subject to applicable law, be relied upon for compliance, investigation and dispute-management purposes.
11. User Licensing and Due Diligence
Users must provide accurate company, director, contact and licensing information. Elion Energy Group Ltd may request supporting documents, verify petroleum-sector licences, suspend access, reject registration or remove users where information is incomplete, misleading, expired or creates a legal, regulatory, security or reputational risk.
Verification undertaken by Elion Energy Group Ltd reflects information available at the time of verification only. Users remain independently responsible for conducting their own due diligence before entering into any transaction.
12. Account Security and Authorised Users
Each registered company is responsible for maintaining the confidentiality and security of its account credentials and for activity undertaken through its account by its directors, employees, representatives and authorised users. Users must immediately notify Elion Energy Group Ltd of suspected unauthorised access, credential compromise or misuse of an account.
13. Platform Suspension and Listing Removal
Elion Energy Group Ltd may suspend an account, restrict access, remove a listing or preserve evidence where it reasonably suspects inaccurate information, fraud, unauthorised publication, regulatory non-compliance, non-payment of platform fees, misuse of data, cybersecurity threats or conduct likely to harm another user or the Platform. Elion Energy Group Ltd may also suspend or remove accounts for expired licences, credential compromise, impersonation, repeated inaccurate listings or failure to cooperate with a legitimate compliance investigation.
14. Disputes Between Users
Any petroleum transaction is concluded directly between the relevant buyer and seller. The parties remain responsible for resolving their own commercial disputes. Elion Energy Group Ltd may, at its discretion, provide platform records or facilitate communication, but it is not required to arbitrate, compensate a party or assume responsibility for the underlying transaction.
The existence of a listing, communication, account verification or platform record shall not make Elion Energy Group Ltd a party to the underlying contract between buyer and seller.
15. Data Protection and Confidentiality
ElionNexus will process personal and business information in accordance with its Privacy Policy and applicable Kenyan data protection requirements. Users must not misuse confidential information, scrape platform data, share account credentials, access information without authority or use platform data for unlawful or anti-competitive purposes.
16. Competition and Market Conduct
Users remain independently responsible for setting their own prices and commercial terms. Nothing on ElionNexus should be used to coordinate prices, divide markets, restrict supply, exchange prohibited competitively sensitive information or engage in misleading, unfair or anti-competitive conduct.
Elion Energy Group Ltd does not determine, recommend or approve the petroleum prices or commercial terms independently established by users.
17. Important Notice on Price Listings
PRICE DISPLAYED DOES NOT MEAN STOCK CONFIRMED OR ORDER CONFIRMED.
IMPORTANT NOTICE: Prices and product information displayed on ElionNexus are published directly by independent petroleum companies and are subject to availability, allocation and final confirmation by the relevant company. ElionNexus does not guarantee stock, pricing, product quality, delivery, loading or completion of any transaction. Buyers must obtain written confirmation of stock, quantity, price, payment instructions and loading arrangements directly from the petroleum company before making payment. Elion Energy Group Ltd is not a party to transactions concluded between users.
18. Transaction Journey
The recommended transaction journey is:
- Price displayed on the Platform
- Buyer requests confirmation
- Petroleum company confirms stock and quantity
- Official quotation or pro forma invoice issued
- Buyer independently verifies official bank details
- Payment made directly to the petroleum company
- Loading/product arrangements are confirmed directly between buyer and petroleum company
19. Intellectual Property & Platform Data
The Platform, including its software, design, branding, databases, compiled datasets and underlying technology, is owned by Elion Energy Group Ltd or its licensors and is protected by applicable intellectual property laws.
Users must not copy, scrape, redistribute, reverse engineer, commercially exploit or otherwise use ElionNexus technology, data or content except as expressly permitted through the Platform or in writing by Elion Energy Group Ltd. Unauthorised access, extraction or use of platform data for commercial, competitive or unlawful purposes is prohibited.
20. Platform Availability & Force Majeure
Elion Energy Group Ltd does not guarantee uninterrupted, error-free or secure operation of the Platform. Access may be suspended, limited or interrupted for maintenance, upgrades, security, compliance or technical reasons.
Elion Energy Group Ltd shall not be liable for delay or failure to perform obligations to the extent caused by circumstances reasonably outside its control, including power or connectivity failures, third-party service outages, cyber incidents, natural events, civil unrest, regulatory action or other force majeure events, subject to applicable law.
21. Subscriptions & Platform Fees
Access to certain features may require payment of subscription, advertising, technology or other platform fees to Elion Energy Group Ltd. Applicable fees, billing cycles, taxes, renewal terms and entitlements are described on the Platform or in separate billing communications.
Fees payable to Elion Energy Group Ltd must be paid when due. Elion Energy Group Ltd may suspend or restrict access for non-payment, failed payment or breach of applicable billing terms. Refunds, cancellations and renewals are handled in accordance with the billing policy stated at the time of purchase or in the user's account dashboard, subject to applicable law.
22. Governing Law & Dispute Resolution
These Terms are intended to be governed by the laws of the Republic of Kenya, subject to confirmation by Elion Energy Group Ltd's legal advisers. Any dispute arising out of or in connection with these Terms or use of the Platform shall be resolved in accordance with applicable law and, where permitted, the courts or dispute-resolution mechanism designated by Elion Energy Group Ltd following legal review.
Nothing in this section limits any mandatory rights or remedies available to users under applicable consumer or commercial protection law.
